1. Definitions

For the purposes of these Terms and Conditions, the following definitions apply:

• "Platform" means the Qubix website, mobile application, and all associated services, tools, and features made available by Qubix Investment Ltd.
• "Account" means your registered user account on the Platform.
• "Assets" means any financial instruments, securities, real estate investment units, physical commodities, or other investment products available on the Platform.
• "Portfolio" means the collection of Assets held by a User through the Platform.
• "Transaction" means any purchase, sale, transfer, or exchange of Assets executed through the Platform.
• "KYC" means Know Your Customer, the process of verifying a User's identity in accordance with applicable laws and regulations.
• "AML" means Anti-Money Laundering, the set of laws, regulations, and procedures designed to prevent criminal activity from generating income through illegal actions.
• "Content" means any text, images, data, information, or other materials displayed, uploaded, or transmitted through the Platform.
• "Intellectual Property" means all patents, trademarks, trade secrets, copyrights, and any other proprietary rights.

2. Acceptance of Terms

By registering for an Account, accessing the Platform, or using any of our services, you acknowledge that you have read, understood, and agree to be bound by these Terms, our Privacy Policy, and any additional guidelines, rules, or policies that we may post on the Platform from time to time.

We reserve the right to modify these Terms at any time. We will notify you of any material changes by posting the new Terms on the Platform and updating the "Last Updated" date. Your continued use of the Platform after any such changes constitutes your acceptance of the new Terms. If you do not agree to the amended Terms, you must stop using the Platform immediately.

These Terms apply to all visitors, users, and others who access or use the Platform. Additional terms and conditions may apply to specific features or services offered on the Platform, and such additional terms will be incorporated into this Agreement by reference.

3. Eligibility and Account Registration

3.1 Eligibility Requirements

To be eligible to use the Platform, you must:

• Be at least 18 years of age, or the age of majority in your jurisdiction, whichever is greater.
• Have the legal capacity and authority to enter into binding contracts.
• Not be located in or a resident of any jurisdiction where the services provided by the Platform are prohibited or restricted by law.
• Not be a person or entity that is subject to any sanctions, trade restrictions, or other legal prohibitions that would prevent you from using the Platform.
• Provide accurate, current, and complete information during the registration process.
• Comply with all applicable laws and regulations in your jurisdiction.

3.2 Account Creation

To access certain features of the Platform, you must register for an Account. When registering, you agree to:

• Provide accurate, truthful, current, and complete information as requested during the registration process.
• Maintain and promptly update your account information to keep it accurate, current, and complete.
• Keep your login credentials, including your username and password, confidential and secure.
• Not share your account credentials with any third party or allow any third party to access your Account.
• Notify us immediately of any unauthorized use of your Account or any other breach of security.
• Accept responsibility for all activities that occur under your Account.

3.3 Identity Verification (KYC)

In compliance with applicable laws and regulations regarding anti-money laundering (AML) and counter-terrorism financing (CTF), we are required to verify the identity of all Users. You agree to:

• Provide all documentation and information required for identity verification, including but not limited to government-issued identification, proof of address, and source of funds documentation.
• Complete the KYC verification process before accessing certain features of the Platform, including the ability to make deposits, investments, or withdrawals.
• Promptly respond to any requests for additional information or documentation as part of ongoing compliance monitoring.
• Understand that failure to complete the KYC process may result in restrictions on your Account or the suspension of your access to the Platform.

4. Investment Services

4.1 Nature of Services

Qubix Investment Ltd provides an online platform that enables Users to access and invest in various financial products and asset classes, including but not limited to equities, real estate investment units, and physical commodities. Our Platform is designed to provide investment opportunities and portfolio management tools to our Users.

The Platform does not provide personalized financial advice, tax advice, legal advice, or any other form of professional advisory services. All investment decisions are made solely by the User at their own discretion and risk. We strongly recommend that you consult with qualified financial, legal, and tax professionals before making any investment decisions.

4.2 Investment Risks

Investing in financial products involves significant risks. You acknowledge and understand that:

• All investments carry the risk of loss, including the potential loss of the entire amount invested.
• Past performance is not indicative of future results. Historical returns, expected returns, or probability projections may not reflect actual future performance.
• The value of investments can go down as well as up, and you may receive back less than you originally invested.
• Investing in real estate, equities, commodities, and other assets involves market risks, liquidity risks, regulatory risks, and other risks that could result in financial losses.
• Leveraged investments may result in losses that exceed the initial amount invested.
• Currency fluctuations may affect the value of your investments if they are denominated in a currency other than your home currency.
• Changes in economic conditions, government policies, and market sentiment can adversely affect the value of your investments.

4.3 No Investment Advice

Nothing on the Platform constitutes investment advice, financial advice, trading advice, or any other type of advice. Information provided on the Platform is for informational and educational purposes only. You should not rely on any information or content on the Platform as a basis for making investment decisions.

Qubix Investment Ltd is not a licensed investment advisor, broker-dealer, financial planner, or fiduciary. We do not make recommendations regarding the suitability of any particular investment for any individual User. You are solely responsible for evaluating the merits and risks of any investment and for making your own investment decisions.

4.4 Order Execution

When you place an investment order through the Platform, you authorize us to execute the transaction on your behalf in accordance with the instructions you provide. You understand and agree that:

• Order execution is subject to market conditions, liquidity, and other factors that may affect the price and timing of execution.
• We do not guarantee that any order will be executed at a specific price or at any price.
• All transactions are subject to applicable fees, as set out in our fee schedule.
• Once an order has been executed, it cannot be reversed or cancelled without our express consent.

5. Fees and Payments

5.1 Fee Structure

By using the Platform, you agree to pay all applicable fees as set out in our fee schedule, which is available on the Platform and may be updated from time to time. Fees may include, but are not limited to:

• Transaction fees charged on each investment transaction.
• Management fees for portfolio management services.
• Withdrawal fees for transferring funds from your Account.
• Currency conversion fees for transactions involving currency exchange.
• Storage and insurance fees for physical commodity holdings.
• Late payment fees for overdue amounts.

5.2 Payment Methods

We accept payment through various methods as indicated on the Platform. You agree to provide accurate and current payment information and to promptly update your payment information if it changes. By providing payment information, you authorize us to charge the applicable fees to your designated payment method.

5.3 Taxes

You are solely responsible for determining and fulfilling any tax obligations that arise from your use of the Platform, including any taxes on investment gains, dividends, interest income, or other returns. We may be required by law to collect and remit certain taxes on your behalf, and we may withhold amounts from your Account to satisfy such obligations. We recommend that you consult with a qualified tax professional regarding your specific tax situation.

6. Physical Commodity Investments

6.1 Storage and Custody

For Users who invest in physical commodities, including precious metals and other tangible assets, Qubix Investment Ltd provides secure storage and custody services through third-party vault facilities. You acknowledge and agree that:

• Physical commodities will be stored in secure, insured vault facilities operated by reputable third-party custodians.
• You retain legal ownership of your physical commodity holdings, subject to the terms and conditions of the storage arrangement.
• Storage fees are applicable and will be charged in accordance with our fee schedule.
• We are not responsible for losses arising from events beyond our reasonable control, including but not limited to natural disasters, government seizure, or acts of terrorism.

6.2 Delivery and Shipping

If you elect to take physical delivery of your commodity holdings, the following terms apply:

• Physical delivery is subject to minimum holding requirements and applicable fees.
• Shipping and insurance costs for physical delivery are the responsibility of the User.
• We will arrange for the delivery of physical commodities to the address specified by the User, subject to applicable laws and regulations.
• Risk of loss passes to the User upon delivery to the specified address.
• We reserve the right to refuse delivery to certain jurisdictions where such delivery is prohibited or restricted by law.

7. Real Estate Investments

The Platform may offer real estate investment opportunities through fractional ownership or other structures. You acknowledge and agree that:

• Real estate investments are illiquid and may not be easily sold or transferred.
• The value of real estate investments is subject to market fluctuations, property-specific risks, and broader economic conditions.
• Returns on real estate investments, including rental income and capital appreciation, are not guaranteed.
• Real estate investments are subject to specific terms and conditions as set out in the relevant offering documents, which you should read carefully before investing.
• Qubix Investment Ltd acts as a facilitator and does not guarantee the performance of any real estate investment.
• You may be subject to additional disclosures, representations, and warranties as required by applicable securities laws in connection with real estate investments.

8. User Obligations and Prohibited Activities

8.1 User Obligations

As a User of the Platform, you agree to:

• Use the Platform only for lawful purposes and in accordance with these Terms.
• Provide accurate and complete information in connection with your Account and any transactions.
• Comply with all applicable laws and regulations, including securities laws, anti-money laundering laws, and tax laws.
• Maintain the security and confidentiality of your Account credentials.
• Promptly notify us of any unauthorized access to or use of your Account.
• Cooperate with our compliance and due diligence processes.

8.2 Prohibited Activities

You are strictly prohibited from:

• Using the Platform for any illegal or unauthorized purpose.
• Engaging in any form of market manipulation, insider trading, or other fraudulent activities.
• Using the Platform to launder money or finance terrorism or other illegal activities.
• Impersonating any person or entity or misrepresenting your identity or affiliation.
• Attempting to gain unauthorized access to any part of the Platform or any other accounts, systems, or networks.
• Interfering with or disrupting the integrity or performance of the Platform or its underlying infrastructure.
• Using any automated tools, bots, scripts, or other means to access or interact with the Platform in a manner that could disrupt or impair its operation.
• Reverse engineering, decompiling, disassembling, or otherwise attempting to derive the source code of the Platform.
• Uploading, posting, or transmitting any content that is harmful, offensive, defamatory, or that infringes the intellectual property rights of any third party.
• Engaging in any activity that could damage the reputation of Qubix Investment Ltd or any of its affiliates.

9. Intellectual Property

The Platform and all its contents, features, and functionality, including but not limited to text, graphics, logos, icons, images, audio clips, digital downloads, data compilations, and software, are the exclusive property of Qubix Investment Ltd and its licensors and are protected by applicable intellectual property laws, including copyright, trademark, and patent laws.

You are granted a limited, non-exclusive, non-transferable, revocable license to access and use the Platform for your personal, non-commercial purposes, subject to these Terms. You may not:

• Copy, reproduce, distribute, or create derivative works of any content on the Platform without our prior written consent.
• Use any of our trademarks, service marks, or trade names without our prior written permission.
• Remove any copyright, trademark, or other proprietary notices from any content on the Platform.
• Use the Platform or its content for any commercial purpose without our express written authorization.

10. Privacy and Data Protection

Your use of the Platform is subject to our Privacy Policy, which is incorporated into these Terms by reference. By using the Platform, you consent to the collection, use, and disclosure of your personal information as described in our Privacy Policy.

11. Disclaimers and Limitation of Liability

11.1 Disclaimers

THE PLATFORM IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT ANY WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, QUBIX INVESTMENT LTD DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ACCURACY.

We do not warrant that the Platform will be uninterrupted, error-free, secure, or free from viruses or other harmful components. We do not warrant the accuracy, completeness, or reliability of any information or content available on the Platform.

11.2 Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, QUBIX INVESTMENT LTD AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, LICENSORS, AND SERVICE PROVIDERS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, LOSS OF DATA, LOSS OF GOODWILL, BUSINESS INTERRUPTION, OR ANY OTHER COMMERCIAL DAMAGES OR LOSSES, ARISING OUT OF OR RELATED TO YOUR USE OF, OR INABILITY TO USE, THE PLATFORM.

In no event shall our total liability to you for all claims arising out of or related to these Terms or your use of the Platform exceed the total amount paid by you to us in the twelve (12) months preceding the event giving rise to such liability.

12. Indemnification

You agree to indemnify, defend, and hold harmless Qubix Investment Ltd and its officers, directors, employees, agents, licensors, and service providers from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable legal fees) arising out of or relating to:

• Your violation of these Terms.
• Your use of the Platform, including any transactions conducted through the Platform.
• Your violation of any applicable laws or regulations.
• Your infringement of any intellectual property or other rights of any third party.
• Any content you submit, post, or transmit through the Platform.
• Any misrepresentation made by you in connection with your use of the Platform.

13. Termination

We reserve the right to terminate or suspend your Account and access to the Platform at any time, with or without notice, for any reason, including but not limited to:

• Your violation of these Terms.
• Suspected fraudulent, abusive, or illegal activity.
• Failure to complete the KYC verification process.
• Our decision to discontinue or modify the Platform or any of its services.
• Compliance with applicable laws, regulations, or court orders.

Upon termination, your right to use the Platform will immediately cease. We will take reasonable steps to allow you to withdraw any funds held in your Account, subject to applicable law and our obligations to retain certain records. The provisions of these Terms that by their nature should survive termination shall survive, including but not limited to provisions relating to intellectual property, limitation of liability, and dispute resolution.

14. Governing Law and Dispute Resolution

14.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which Qubix Investment Ltd is incorporated, without regard to its conflict of law provisions.

14.2 Dispute Resolution

In the event of any dispute arising out of or relating to these Terms or your use of the Platform, you agree to first attempt to resolve the dispute informally by contacting us at legal@qubix.com. If the dispute cannot be resolved informally within 30 days, you agree to submit the dispute to binding arbitration in accordance with the rules of a recognized arbitration body, as determined by us.

YOU AGREE THAT ANY DISPUTE RESOLUTION PROCEEDINGS WILL BE CONDUCTED ONLY ON AN INDIVIDUAL BASIS AND NOT IN A CLASS OR REPRESENTATIVE ACTION. YOU WAIVE ANY RIGHT TO PARTICIPATE IN A CLASS ACTION LAWSUIT OR CLASS-WIDE ARBITRATION.

15. Miscellaneous

15.1 Entire Agreement

These Terms, together with our Privacy Policy and any other legal notices or agreements published by us on the Platform, constitute the entire agreement between you and Qubix Investment Ltd with respect to your use of the Platform and supersede all prior and contemporaneous agreements, understandings, and representations.

15.2 Severability

If any provision of these Terms is found to be invalid, illegal, or unenforceable, the remaining provisions will continue in full force and effect. The invalid, illegal, or unenforceable provision will be deemed modified to the minimum extent necessary to make it valid, legal, and enforceable.

15.3 Waiver

Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights. A waiver of any right or provision will only be effective if it is in writing and signed by an authorized representative of Qubix Investment Ltd.

15.4 Assignment

You may not assign or transfer these Terms or any rights or obligations hereunder without our prior written consent. We may assign these Terms or any rights or obligations hereunder without restriction.

15.5 Force Majeure

We shall not be liable for any delay or failure to perform our obligations under these Terms if such delay or failure is caused by circumstances beyond our reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, civil unrest, government actions, pandemics, or failures of third-party service providers.
